Organizer: These Terms and Conditions (“Terms”) govern preorders for the Astreea One+ electric scooter (“Product”) placed with Astreea SRL, headquartered at Street 601 no. 53, 317235, Pecica, Arad County, Romania (“Astreea”), during EICMA 2025 or through any authorized Astreea representative at the event.

By placing a preorder and signing the Preorder Form, the customer (“Buyer”) acknowledges and agrees to the following:

1. Nature of the Preorder

1.1. The preorder represents a binding purchase commitment for the Astreea One+ Product as specified in the Preorder Form.

1.2. A non-refundable deposit of €100 per unit (“Deposit”) is required to secure the preorder.

1.3. The Deposit will be deducted from the final purchase price of the Product.

1.4. By submitting payment and signing the Preorder Form, the Buyer confirms full understanding and acceptance of these Terms.

2. Price and Payment

2.1. The final retail price of the Product, including applicable taxes and shipping fees, will be communicated to the Buyer before shipment.

2.1.a. Shipping Costs, Taxes & Duties. Shipping costs, import duties, taxes, brokerage/clearance fees, and any other delivery-related charges are borne by the Buyer and will be quoted after the Buyer provides the final delivery address. These amounts are invoiced together with the Final Payment and must be paid prior to shipment.

2.2. The Deposit amount is payable immediately upon preorder and must be confirmed by receipt or proof of payment.

2.3. The remaining balance (“Final Payment”) must be paid in full before shipment.

2.4. Failure to complete the Final Payment within the specified period will result in automatic cancellation of the preorder and forfeiture of the Deposit.

3. Cancellation and Refund Policy

3.1. Preorder Deposits are strictly non-refundable.

3.2. If the Buyer cancels the preorder for any reason, or fails to complete the Final Payment when due, the Deposit will be forfeited in full as liquidated damages to Astreea.

3.3. Astreea reserves the right to cancel the preorder and refund the Deposit only if:

• the Product cannot be manufactured or delivered due to technical or regulatory reasons, or

• the Product specifications change significantly from those advertised at the time of preorder.

3.4. In such cases, Astreea’s liability is strictly limited to the refund of the Deposit amount.

4. Delivery and Timelines

4.1. The estimated delivery timeline for the Astreea One+ is after January 15, 2026, subject to production schedules and logistics availability.

4.2. The Buyer will receive confirmation of the expected delivery window at least 30 days before shipment.

4.3. Shipping at Buyer’s Cost. Shipping is not included in the Product price. After the Buyer confirms the delivery address, Astreea will issue a shipping quote. Shipment will proceed only after the Buyer approves and pays the quoted shipping charges together with the Final Payment.

4.4. Astreea is not liable for delays caused by factors beyond its reasonable control, including supply chain issues, customs delays, or acts of God.

5. Product Specification

5.1. The Product ordered will match the specifications presented at EICMA 2025 or as listed in the Buyer’s Preorder Form (model: Simple or Golf Edition).

5.2. Minor changes to design, materials, or components that do not affect performance or quality may occur and do not constitute grounds for cancellation or refund.

5.3. Product images shown at EICMA are for illustrative purposes only.

6. Warranty

6.1. Each Astreea One+ scooter is covered by a standard manufacturer’s warranty in accordance with Astreea’s published warranty terms at the time of delivery.

6.2. Warranty coverage begins on the date of delivery to the Buyer.

6.3. The warranty does not cover normal wear and tear, misuse, unauthorized repairs, or modifications.

7. Transfer of Ownership and Risk

7.1. Ownership of the Product transfers to the Buyer upon full payment of the purchase price.

7.2. Risk of loss or damage passes to the Buyer upon delivery.

8. Limitation of Liability

8.1. Astreea shall not be liable for any indirect, incidental, or consequential damages arising from the preorder, delay, or delivery of the Product.

8.2. In no event shall Astreea’s total liability exceed the total amount paid by the Buyer under the preorder.

9. Data Protection

9.1. Personal data collected during the preorder process will be processed in compliance with Astreea’s Privacy Policy and applicable GDPR regulations.

9.2. Buyer information will be used solely for order processing, communication, and delivery purposes.

10. Governing Law and Jurisdiction

10.1. These Terms are governed by the laws of Romania and the European Union.

10.2. Any disputes shall be resolved by the competent courts of Romania.

11. Acceptance

By signing the Preorder Form or submitting payment for the Deposit, the Buyer acknowledges that they have read, understood, and agreed to these Terms and Conditions.
